These Terms of Use ("Terms") govern your access to and use of the services, tools, and features provided by Prop Firm One (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

Prop Firm One is owned and operated by Prop Firm Match Global FZCO (the "Company"), a company registered under the laws of Dubai, with its principal office located at IFZA Business Park, DDP, Building A1, Dubai, United Arab Emirates. Throughout these Terms, "we," "us," and "our" refer to the Company, and "you" or "user" refers to any person or entity using the Platform.

We may update or modify these Terms from time to time at our sole discretion. Any changes will be effective upon posting on the Platform, and we will notify you of significant updates. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

1. DEFINITIONS

For the purposes of these Terms, the following terms shall have the meanings set forth below:

1. Platform: Refers to the website, and any other digital medium through which Prop Firm One delivers services and features.
2. Services: Includes all functionalities, tools, content, and offerings made available to users through the Platform.
3. User: Any individual that accesses or uses the Platform.
4. Content: Refers to any text, images, graphics, videos, audio, software, code, and other materials provided on or through the Platform by either Prop Firm One or its users.
5. User-Generated Content: Any content uploaded, submitted, or otherwise provided by users to the Platform, including but not limited to comments, reviews, posts, and files.
6. Account: A unique profile created by a user to access certain features of the Platform.
7. Third-Party Services: Any services, products, or content provided by third parties that may be linked to or integrated with the Platform.
8. Privacy Policy: The separate document that outlines how Prop Firm One collects, uses, and protects users' personal data.
9. Terms: This Terms of Use document, as amended or updated from time to time.
10. Company: Refers to Prop Firm Match Global FZCO, the owner and operator of Prop Firm One.

2. ELIGIBILITY

By accessing or using the Platform, you represent and warrant that:

1. Legal Age: You are at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into these Terms.
2. Compliance with Laws: Your use of the Platform complies with all applicable laws, regulations, and rules in your jurisdiction. You are solely responsible for ensuring that your use of the Platform is lawful.
3. Permitted Jurisdictions: The Platform is not intended for use in jurisdictions where its use is restricted or prohibited. It is your responsibility to determine whether your use of the Platform complies with local laws.
4. Authorized Use: You are not prohibited from accessing or using the Platform by any applicable laws or restrictions, including but not limited to sanctions, embargoes, or trade restrictions.
5. Accuracy of Information: All information you provide to the Platform is accurate, truthful, and complete, and you agree to update such information as necessary to maintain its accuracy.

3. USER ACCOUNTS AND SUBSCRIPTION PACKAGES

4.01. Account Registration

To access certain features of the Platform, you may be required to create an account. During the registration process, you must provide accurate, complete, and current information. If you create an account using Google Single Sign-On (SSO), you acknowledge and agree that your Google account email address will automatically be added to our communications list. This includes receiving our weekly newsletter and service-related updates. You may opt out of non-essential communications at any time by following the "unsubscribe" link in our emails or contacting us directly. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.02. Subscription Tiers

The Platform offers services through a tiered subscription model ("Subscription Packages"). Each tier provides access to specific features as detailed on the Platform. You may choose a Subscription Package during registration or upgrade/downgrade your subscription at any time, subject to the terms and fees associated with the selected tier.

4.03. Fees and Payment

• Subscription fees for each tier are payable in advance as outlined on the Platform. Fees may be subject to applicable taxes, which are your responsibility to pay.
• By purchasing a Subscription Package, you authorize us or our third-party payment processor to charge the subscription fees using the payment method you provide. You are responsible for ensuring that your payment information is accurate and up to date.
• Payment processing for our Services is facilitated by third-party payment processors. Any issues related to payment processing are beyond our control, and we are not responsible for them.
• All payments are non-refundable, except as required by applicable law or as explicitly stated in these Terms.
• We reserve the right to modify subscription fee or introduce new fees. Any changes will be communicated to you in advance and will take effect upon your renewal date.

4.04. Account Responsibilities

You are responsible for ensuring your payment information is accurate and up to date. Failure to process payment may result in the suspension or termination of your access to the Platform. You must notify us immediately if you suspect unauthorized use of your account or breach of security.

4.05. Account Suspension or Termination

We may suspend or terminate your account without notice if:

• You violate these Terms or fail to pay subscription fees.
• We detect unauthorized activity or misuse of your account.
• Your actions pose a security risk or could harm the Platform, its users, or third parties.

4.06. Access and Features

Access to tools and services depends on the Subscription Package selected. Features available under each tier are detailed on the Platform and may be updated from time to time.

4.07. Account Termination by User

You may terminate your account at any time by following the instructions on the Platform. Termination does not entitle you to a refund of any fees already paid.

4.08. Cancellation of Subscription

Users may cancel their subscription at any time by accessing their account settings on the Platform or submitting a written request to the support team atsupport@propfirmone.com. Upon cancellation, the subscription will remain active until the end of the current billing cycle, after which access to all subscription features will be terminated.

Prop Firm One reserves the right to cancel a user's subscription at its sole discretion for reasons including, but not limited to, violations of these Terms, non-payment of fees, or misuse of the Platform. Following cancellation, any data associated with the subscription will be handled in accordance with the Privacy Policy. No refunds shall be issued for the remaining duration of the billing period unless explicitly provided under the Refund Policy.

4.09. Free Trials and Promotions

From time to time, we may offer free trials or promotional access to certain features. Such offers are subject to these Terms and may be terminated or modified at our discretion.

4. PLATFORM SERVICES

5.01. Nature Of Services

The Platform provides tools and resources designed to assist users in managing and analyzing their trading accounts across various platforms. These services are intended to enhance operational efficiency and convenience for traders by centralizing account management, trade analysis, automated risk management, and other related functionalities. The Platform does not engage in trading, provide financial advice, or facilitate transactions involving financial instruments.

5.02. Scope of Services

The Platform offers:

• Account management tools to consolidate and monitor trading accounts.
• Integration with third-party platforms for seamless charting, trade execution, and analysis.
• Features for trade copying across connected accounts, comprehensive journaling, automated risk calculations based on user-defined parameters, and performance review.
• Access to educational resources aimed at enhancing trading knowledge for both novice and experienced traders.

5.03. Disclaimer of Financial Services

• The Platform is a technology tool and does not provide brokerage, investment, trading, or financial advisory services.
• We do not offer recommendations, strategies, or opinions regarding any financial instruments, nor do we facilitate or execute trades on behalf of users.
• Any use of the Platform in connection with trading activities is at the sole discretion and risk of the user. Users are encouraged to seek independent financial advice if necessary before engaging in trading activities.

5.04. Third-Party Integrations

• The Platform may integrate with third-party services (e.g., MT5, Binance, TradingView) to facilitate access to their tools.
• We are not responsible for the functionality, performance, or accuracy of data provided by third-party platforms. Users must comply with the terms and conditions of any third-party services they access via the Platform.

5.05. Risk Acknowledgment

USERS ACKNOWLEDGE THAT TRADING IN FINANCIAL INSTRUMENTS, INCLUDING BUT NOT LIMITED TO FOREIGN EXCHANGE, STOCKS, AND CRYPTOCURRENCIES, CARRIES SIGNIFICANT RISK. THE PLATFORM DOES NOT ASSUME ANY LIABILITY FOR LOSSES OR DAMAGES ARISING FROM USERS' TRADING ACTIVITIES.

5. INTELLECTUAL PROPERTY

Ownership of Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to software, designs, logos, trademarks, and content, are owned or licensed by the Prop Firm One. These rights are protected under applicable intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes, subject to these Terms. This license does not permit:

• Copying, reproducing, or distributing any part of the Platform without prior authorization.
• Commercial exploitation of the Platform or its components without express written consent.

User-Generated Content

By submitting any content to the Platform, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, and display that content solely for the purpose of operating or improving the Platform. You represent and warrant that you have the necessary rights to grant this license.

Protection of Rights

Any unauthorized use of the Platform's intellectual property will result in termination of your access and may subject you to legal action.

6. DISCLAIMERS AND LIMITATION OF LIABILITY

Use at Your Own Risk

You acknowledge and agree that you use Prop Firm One Services at your own risk. The Platform is provided "as-is". We make no representation or warranties of any kind, express or implied, regarding availability, accuracy, completeness, reliability, or timeliness of information provided through our Platform. Any decisions made based on the information or tools accessed via the Platform are solely the responsibility of the user.

No Financial Advice

The Platform is a technological tool and does not provide financial, investment, legal, or professional advice. Any decisions made based on the tools or information provided by the Platform are at your sole discretion and risk.

Limitation of Liability

To the fullest extent permitted by law, Prop Firm One, its officers, directors, employees, and affiliates shall not be liable for any damages, whether direct, indirect, incidental, consequential, or otherwise, arising from:

• Your use of or inability to use our Services or reliance on information obtained through our platform.
• Loss of profits, revenue, data, or business opportunities.
• Any failure of performance, errors, interruptions, deletions, defects, delays, computer viruses, communication failures, theft, or unauthorized access.
• Inaccurate or misleading content posted on our platform.
• The conduct of any user, both online and offline.
• Problems, failures, or technical malfunctions related to telephone networks, computer systems, servers, or providers, as well as issues with computer equipment or software.

Our total liability under any claim arising from your use of the platform shall not exceed $100.

Third-Party Services

We do not assume responsibility of any kind for third-party services or content accessed through the Platform.

Responsibility for Investment Decisions

You bear full responsibility for your investment choices, legal obligations, and compliance with local regulations. Information offered through our Services is intended solely for general informational purposes and should not be construed as personalized advice.

Risk in Digital Currency Markets

When you trade digital currencies or similar assets, you acknowledge the high level of risk involved. Prop Firm One warns that trading in these markets can result in losing your investment and other risks. Before trading, consider your investment goals, experience level, and how much risk you can handle. Only invest money you can afford to lose. Get advice from independent financial or tax advisors if necessary.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your violation of these Terms or applicable laws.
• Your misuse of the Platform or reliance on its tools and resources.
• Any claims by third parties related to your use of the Platform or content you upload.

8. TERMINATION

Termination by Us

We may terminate or suspend your access to the Platform, with or without notice, for any reason, including violation of these Terms or failure to pay subscription fees.

Termination by You

You may terminate your account by following the instructions provided on the Platform. Termination does not entitle you to any refund of fees already paid.

Effect of Termination

Upon termination, your access to the Platform and all associated data will cease. We are not responsible for retaining or providing access to any data following termination.

9. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms are governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law principles.

Dispute Resolution

• Any disputes arising under these Terms shall first be resolved through good faith negotiation.
• If negotiations fail, disputes will be resolved through arbitration in Dubai, in accordance with the rules applicable in Dubai. The arbitrator's decision will be final and binding.
• You waive your right to participate in class action lawsuits or class-wide arbitration.

10. THIRD-PARTY LINKS AND INTEGRATIONS

The Platform may include links to third-party websites or services. We do not control or endorse these third-party platforms and are not responsible for their content, functionality, or privacy practices. Your use of third-party services is governed by their respective terms and conditions.

11. PRIVACY AND DATA USE

Our collection, use, and storage of your personal information are governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. If you register using Google Single Sign-On (SSO), your email address will be used to send you newsletters and updates in addition to essential service communications. This processing is carried out under legitimate interest and your acceptance of these Terms and our Privacy Policy.

12. MISCELLANEOUS

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Entire Agreement

These Terms, along with the Privacy Policy and any other legal documents referenced herein, constitute the entire agreement between you and us regarding your use of the Platform.

Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, or technical interruptions.
